These terms govern services provided by Flood International, LLC, a California limited liability company ("Flood International", "we", "us") to you ("Client"). By engaging our services you agree to them.
We provide operational services under the tiers described on our website. The scope, deliverables, and cadence that apply to you are set out in your order confirmation or statement of work, which controls if it differs from the website.
Because the substantial majority of the work in an engagement is performed during the first weeks — building your systems, agents and automations — every engagement carries an initial minimum term of three (3) months, beginning on the date of your first payment.
California residents. The three-month minimum term and the monthly recurring charge that follows it are disclosed to you in writing, and you consent to them, before your first payment is taken. Under California Business and Professions Code § 17600 et seq. we will send you an acknowledgment describing the terms of the automatic renewal and how to cancel. Once the initial term has ended you may cancel the automatically renewing subscription at any time.
Our services generate output using AI systems. That output may be inaccurate, incomplete, or out of date, and it requires your review before use.
We are not a registered investment adviser and we do not provide regulated financial services.
Any cost comparison, savings figure, growth number, or return estimate we publish or provide is an illustration based on stated assumptions, including third-party salary data. It is not a guarantee, projection, or warranty of the result you will achieve. Outcomes depend on factors outside our control, including your market, your team, and your own execution. We make no representation that you will save any particular amount.
Each party will keep the other's confidential information private and use it only to perform this agreement. This obligation survives termination for 3 years.
Except as expressly stated, the services are provided "as is" and we disclaim all implied warranties, including merchantability and fitness for a particular purpose, to the fullest extent permitted by law.
Nothing in these terms limits liability for fraud, willful injury to the person or property of another, or violation of law, whether willful or negligent, consistent with California Civil Code § 1668.
Subject to the above, our total aggregate liability arising out of this agreement is limited to the fees you paid us in the 3 months preceding the claim. We are not liable for lost profits, lost revenue, lost data, or indirect, incidental, special, or consequential damages.
Either party may terminate immediately for material breach that is not cured within 14 days of written notice, or on insolvency. On termination we will provide a reasonable export of your data within 30 days.
These terms are governed by the laws of the State of California, without regard to conflict of laws principles. The state and federal courts located in Los Angeles County, California have exclusive jurisdiction, and both parties consent to venue there.
