Terms of Service

These terms govern services provided by Flood International, LLC, a California limited liability company ("Flood International", "we", "us") to you ("Client"). By engaging our services you agree to them.

1. Services

We provide operational services under the tiers described on our website. The scope, deliverables, and cadence that apply to you are set out in your order confirmation or statement of work, which controls if it differs from the website.

2. How the services are delivered

Our services are delivered through automated software and artificial intelligence systems, supervised by our team. We may change the underlying tools, models, or methods at any time. What we commit to is the deliverable described in your statement of work, not any particular technology used to produce it.

3. Fees, minimum term, automatic renewal, and cancellation

Minimum term

Because the substantial majority of the work in an engagement is performed during the first weeks — building your systems, agents and automations — every engagement carries an initial minimum term of three (3) months, beginning on the date of your first payment.

Fees are stated in your statement of work and are billed monthly in advance.
The recurring charge is the amount agreed on your call and confirmed in writing before your first payment. We will notify you at least 30 days before any change to that amount.
During the initial three-month term the engagement may not be cancelled for convenience, and the three monthly payments are due in full.
You may still terminate during the initial term for material breach under section 10.

After the minimum term

Your subscription then continues month to month and renews automatically until you cancel.
You may cancel at any time after the initial term, effective at the end of the current billing period, with no cancellation fee and no notice period.
To cancel, email cancel@floodinternational.com or use the cancellation link in any billing email. We will confirm in writing.
Fees already paid for the current billing period are not refunded, and services continue through the end of that period.

California residents. The three-month minimum term and the monthly recurring charge that follows it are disclosed to you in writing, and you consent to them, before your first payment is taken. Under California Business and Professions Code § 17600 et seq. we will send you an acknowledgment describing the terms of the automatic renewal and how to cancel. Once the initial term has ended you may cancel the automatically renewing subscription at any time.

4. Client responsibilities

Provide accurate information and timely access to the accounts and systems we need.
Review and approve anything published under your name. You are responsible for what you publish.
Ensure you hold the rights to any material you supply to us.
Keep your credentials secure and do not share account access.

5. Artificial intelligence, and what our output is not

Our services generate output using AI systems. That output may be inaccurate, incomplete, or out of date, and it requires your review before use.

Nothing produced by Flood International constitutes legal, financial, investment, tax, or accounting advice, and it must not be relied on as such. This includes budget allocations, projected returns, risk assessments, opportunity matching, and any output from components described as a Legal Assistant or Finance Assistant. Obtain advice from a qualified professional before acting.

We are not a registered investment adviser and we do not provide regulated financial services.

6. Results, estimates, and comparisons

Any cost comparison, savings figure, growth number, or return estimate we publish or provide is an illustration based on stated assumptions, including third-party salary data. It is not a guarantee, projection, or warranty of the result you will achieve. Outcomes depend on factors outside our control, including your market, your team, and your own execution. We make no representation that you will save any particular amount.

7. Intellectual property

You retain ownership of your pre-existing material, and of the deliverables we produce for you once they are paid for in full.
We retain ownership of our software, systems, templates, prompts, workflows, and methodology, including improvements made during your engagement.
We grant you a non-exclusive, non-transferable license to use our systems for the term of your engagement.

8. Confidentiality

Each party will keep the other's confidential information private and use it only to perform this agreement. This obligation survives termination for 3 years.

9. Disclaimers and limitation of liability

Except as expressly stated, the services are provided "as is" and we disclaim all implied warranties, including merchantability and fitness for a particular purpose, to the fullest extent permitted by law.

Nothing in these terms limits liability for fraud, willful injury to the person or property of another, or violation of law, whether willful or negligent, consistent with California Civil Code § 1668.

Subject to the above, our total aggregate liability arising out of this agreement is limited to the fees you paid us in the 3 months preceding the claim. We are not liable for lost profits, lost revenue, lost data, or indirect, incidental, special, or consequential damages.

10. Termination

Either party may terminate immediately for material breach that is not cured within 14 days of written notice, or on insolvency. On termination we will provide a reasonable export of your data within 30 days.

11. Governing law and disputes

These terms are governed by the laws of the State of California, without regard to conflict of laws principles. The state and federal courts located in Los Angeles County, California have exclusive jurisdiction, and both parties consent to venue there.
